1. Acceptance of Terms

By accessing or using the services provided by Nintex Software UK Limited, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access or use our services.

  • These terms constitute a legally binding agreement between you and Nintex Software UK Limited
  • You must be at least 18 years old to use our services
  • You represent that you have the legal capacity to enter into this agreement
  • We may modify these terms with notice to you

2. Services and Use

We provide custom software development, cloud solutions, digital transformation, and related services. Your use of our services must comply with all applicable laws and regulations.

  • Services are provided on a project-by-project basis as agreed in writing
  • We reserve the right to modify or discontinue services with reasonable notice
  • You are responsible for providing accurate and complete information
  • You must maintain the confidentiality of your account credentials

3. Fees and Payment

Fees for our services are as agreed in your project proposal or statement of work. Payment terms are specified in your agreement and may vary by project type and scope.

  • Invoices are due within 30 days of receipt unless otherwise agreed
  • Late payments may incur interest at 2% above the Bank of England base rate
  • All fees are exclusive of VAT and applicable taxes
  • We reserve the right to suspend services for non-payment

4. Intellectual Property Rights

We respect intellectual property rights and expect you to do the same. Ownership of intellectual property created during projects is defined in your specific agreement.

  • Pre-existing IP remains the property of the respective owner
  • Custom-developed code is owned by you upon full payment
  • We retain the right to use general skills and knowledge gained
  • You grant us a license to use your materials to provide services

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of our engagement.

  • Confidential information includes business plans, technical data, and customer information
  • Confidentiality obligations survive termination of this agreement
  • We implement reasonable safeguards to protect your information
  • Confidentiality does not apply to publicly available information

6. Warranties and Disclaimers

We provide our services using reasonable skill and care. However, we cannot guarantee that our services will be error-free or uninterrupted.

  • Services are provided 'as is' without warranties of any kind
  • We do not warrant that services will meet all your requirements
  • We disclaim all implied warranties to the extent permitted by law
  • Our liability is limited as set forth in these terms

7. Limitation of Liability

To the maximum extent permitted by law, Nintex Software UK Limited shall not be liable for certain damages as described below.

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the fees paid in the last 12 months
  • We are not liable for loss of data, profits, or business opportunities
  • Nothing limits liability for fraud or death/injury caused by negligence

8. Termination

Either party may terminate this agreement under certain conditions as outlined in your specific contract.

  • You may terminate by providing written notice as specified
  • We may terminate for material breach with 30 days' notice to cure
  • Upon termination, you must pay for all services rendered
  • Provisions that should survive termination will continue

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

  • Any disputes shall be subject to the exclusive jurisdiction of English courts
  • The United Nations Convention on Contracts for the International Sale of Goods does not apply
  • You agree to submit to the personal jurisdiction of English courts
  • Notwithstanding the foregoing, we may seek injunctive relief in any jurisdiction

The following activities are strictly prohibited when using our services

Violating any applicable laws or regulations
Infringing on intellectual property rights of others
Distributing malware, viruses, or other harmful code
Attempting to gain unauthorized access to our systems
Interfering with the proper functioning of our services
Using our services for illegal, harmful, or fraudulent activities
Reverse engineering our software or services
Reselling our services without written authorization

Limitation of Liability

To the maximum extent permitted by law, Nintex Software UK Limited shall not be liable for:

Indirect or consequential damages
Loss of profits, revenue, or data
Business interruption
Damages exceeding fees paid
Third-party claims
Force majeure events

* Nothing in these terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.
